These Terms and Conditions govern your use of the website “Cervico by VPI” located at https://vpicervico.com and your purchase of products offered by VP Innovato Holdings LTD. By accessing the Site or making a purchase, you agree to be bound by these Terms and Conditions.

Products and Orders

We make reasonable efforts to display accurate product information. We do not warrant that product descriptions or other content are complete, current, or error free. Orders may be placed online at www.vpicervico.com. Our products may also be available through selected distributors sales representatives. By placing an order, you represent that you are legally able to enter into a contract. All orders are subject to acceptance. We may refuse or cancel an order for reasons related to product availability, errors in product information or pricing, suspected fraud, or compliance with applicable laws. Prices are listed on the Site. We reserve the right to change prices at any time. Applicable taxes and shipping costs are displayed at checkout. VP Innovato Holdings LTD may discontinue Products or change specifications, designs, prices, or the terms and conditions of sale at any time.

Payment

Payment for Products, including any applicable tax, shipping, and handling, is ordinarily due at time of order via credit card. Payments are processed securely through Stripe. We do not store full payment card details. By submitting a payment, you authorize us and our payment processor to charge the specified amount.

Shipping

We arrange shipping after your order is processed. Delivery times may vary based on location and carrier conditions. We are not responsible for delays caused by the carrier or circumstances outside our control. Customer shall pay any applicable taxes related to purchase in their country.

Returns and Refunds

All purchases are covered by a thirty day return period starting on the day the goods are received by the customer. Returns within this period are accepted without requiring an explanation, subject to the condition that products are returned in acceptable condition. Refunds are issued after the returned goods are received and inspected.

Intellectual Property

Several components of the Cervico by VPI are patented and patent-pending products. Cervico by VPI, Cervico System, Cervico Guide, Cervico Mold, VPI EPMS, and VPI, are registered trademarks of VP Innovato Holdings Ltd. All other Trademarks mentioned within this catalog are the property of their respective Owners and neither the Owners nor the trademarks are in any way associated with VP Innovato Holdings LTD.

User Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities under your account. You must notify us immediately if you suspect unauthorized use.

Prohibited Activities

You must not use the Site in a manner that violates any law or regulation. You must not engage in fraudulent, abusive, or harmful behavior. You must not upload malicious software, attempt to bypass security measures, or interfere with the Site’s functionality.

Third Party Services

The Site uses third party services including Stripe, Mailchimp, Google Analytics, Google Ads, Meta Ads, and Invisible reCAPTCHA. These services may collect data according to their own policies. We are not responsible for the practices of third party service providers.

Limited Warranty – Limitation Of Liability

VP Innovato Holdings LTD warrants its Products to be free from defects in workmanship and materials for two (2) years from the date of payment or initial invoice, whichever comes first when used and handled according to “Instructions For Use.” VP Innovato Holdings LTDs’ only liability, and Customer’s exclusive remedy in the event of any defect, is to provide at its option, either (1) a full refund or credit in the amount of the purchase price, or (2) the repair or replacement of the Product. VP Innovato Holdings LTD will not be liable for any indirect, consequential, incidental, punitive, special, exemplary, or contingent loss or damage (including without limitation lost or anticipated profits, or damage to goodwill) arising from or in connection with the purchase, use of, or inability to use, the Products. Customer must return the defective Product within thirty (30) days from the date of purchase. This warranty excludes injury or damage resulting from negligent or improper use, including use that is inconsistent with best practices, and specifically including, but not limited to, any use of the Products contrary to the Instructions For Use. Any negligent or improper use shall void this warranty. This warranty is given in lieu of all other warranties, written or oral, express or implied. VP Innovato Holdings LTD does not warrant the Products’ merchantability or fitness for a purpose, excepting those expressly described in the Instructions for Use.

THE EXPRESS WARRANTY SET FORTH IS THE ONLY WARRANTY MADE BY VP INNOVATO HOLDINGS LTD DISCLAIMS ANY OTHER WARRANTIES OF ANY KIND OR DESCRIPTION WHATSOEVER, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR IMPLIED WARRANTIES ARISING FROM A COURSE OF DEALING OR COURSE OF PERFORMANCE. NO ORAL OR WRITTEN INFORMATION GIVEN VP INNOVATO HOLDINGS & ITS EMPLOYEES, LICENSORS OR THE LIKE WILL CREATE A WARRANTY.

Indemnification

You agree to indemnify and hold harmless VP Innovato Holdings LTD from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or your misuse of the Site.

Governing Law

These Terms are governed by the laws of Cyprus. Any disputes must be resolved in the courts of Cyprus unless applicable law requires otherwise.

Changes to These Terms

We may update these Terms and Conditions from time to time. Updates will be posted on this page with a revised “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
